ResolvTalk™ Attorney Agreement · BETA v3 — September 20, 2026

This Agreement is between ResolvTalk, LLC, a Florida limited liability company and wholly owned subsidiary of Cognitive Resolution Solutions Corporation (“ResolvTalk,” “we”), 245 Northeast 14th Street, #3407, Miami, Florida 33132, and the attorney who signs it electronically below (“you”). Just-Us.ai™ and Avoid-Court.com™ are dispute-resolution services operated by our parent and licensed to the ResolvTalk network; together with ResolvTalk they are the “Platform.” It takes about three minutes to read.

1. We are not a law firm

ResolvTalk, Just-Us.ai and Avoid-Court.com do not practice law and do not give legal advice, legal representation or legal services. Our Case Manager–Facilitators are trained in the unauthorized practice of law (UPL) and do not give legal advice. No attorney-client relationship exists between any client and ResolvTalk or its parent. Every engagement is solely between you and the client, and nothing here limits your independent professional judgment or your duties under the rules of professional conduct where you are licensed; if this Agreement conflicts with those duties, the duties control.

You are an independent professional, not our employee or agent. Participation is non-exclusive and we guarantee no volume. Our fees (Section 5) are flat technology and administrative charges that never vary with the legal fees you earn; there is no division of legal fees with a non-lawyer.

2. Your eligibility

You are licensed and in good standing in every jurisdiction in your profile, not subject to undisclosed discipline, carry professional liability insurance of at least $250,000 per claim, and will keep your profile truthful and current (tell us at info@resolvtalk.com within ten days of any change). Your profile must comply with lawyer-advertising and referral-service rules (for Florida, Rule 4-7.22). We may verify your bar status and may decline, suspend or remove a listing; a listing is not an endorsement.

3. Advisory services only

You give limited-scope legal advice (Florida Rule 4-1.2(c) or its equivalent) to help a client understand the legal aspects of a dispute they are resolving on the Platform: the law that applies, their rights, obligations and exposure, the likely range of litigated outcomes, the legal effect of proposed terms, and answers to their questions.

An engagement does not include representing the client in the Platform negotiation or with the Case Manager–Facilitator, contacting the other party or their counsel, drafting or filing anything, or a retainer or ongoing representation. Confirm the limited scope with the client in writing before the first session (we supply the notice), run a conflict check, and never advise both parties to one dispute.

4. If litigation is the better path

Occasionally a client is better served by litigation, arbitration or another course. Before you recommend it, email the case number and a short explanation to info@resolvtalk.com; the Case Manager–Facilitator receives it, replies with an approval confirmation by email within two business days, and marks the Just-Us.ai case pending. We may offer additional Platform resources (a Case Manager conference, online mediation, review by another professional) before you advise the client.

Ethics override: nothing here requires you to withhold or delay advice needed to protect a client’s rights, such as a limitations deadline, a court date, irreparable harm or a safety concern. Advise the client immediately and notify us afterward.

If the client proceeds to litigation and the court orders, requests or refers the case to mediation, you agree to guide the client back to Just-Us.ai to attempt resolution there. You will not use an engagement to solicit the client away from the Platform process for the pending dispute so that you can litigate that same dispute.

5. Rates, prepayment and how you are paid

You charge only the fixed rates in Exhibit A ($250 per hour in-office 9 AM–5 PM; $200 per hour after-hours by Zoom; $175 per hour after-hours by phone), the same for every ResolvTalk attorney and shown to clients before booking. No raising, discounting, side-billing or collecting outside the Platform for advisory services.

Clients prepay each engagement hour through the Platform before the session, in whole hours. After every call ResolvTalk sends the client a short satisfaction survey and emails you a copy immediately; ratings may appear on your profile and affect matching order.

By the 5th of each month you receive a summary of every engagement scheduled and delivered the prior month and the fees collected. We deduct the $4.95 per-hour referral transaction fee (Exhibit B) and direct-deposit the net on the 5th to the business or personal bank account you provide. If you miss a booked session we refund the client and deduct it from your next deposit. Our payment processor may require identity and tax information from you and may issue you a Form 1099-K; you are responsible for your taxes and for handling prepaid funds under your bar’s advance-fee rules.

Registration is $295 one-time and the referral fee is $4.95 per engagement hour. No fees of any kind are charged to any attorney during BETA (through December 31, 2026), and both fees are waived for the first 1,000 attorneys to register (“Founding Attorneys”) for the entire first year, January 1 through December 31, 2027. We may change Exhibits A or B on sixty days’ email notice; continuing to participate is acceptance.

6. Client for Life, service standards, confidentiality

A satisfied client may retain you directly, on your own terms, for any future matter, and after the Platform case concludes for continuing work on it; ResolvTalk claims no fee or interest, and you may collect however you choose, including LawPay.

Respond to a new request within one business day and offer a session within three; keep sessions or give 24 hours’ notice; be courteous; do not disparage the Platform, the other party or the process; keep client information confidential and use it only for the engagement; do not use the Platform to advertise other services or collect contact lists; answer client complaints within two business days.

Each of us keeps the other’s non-public information confidential. The Platform, its software, methodology (TeDR™) and marks belong to ResolvTalk and its affiliates; you may use the ResolvTalk™ name and badge only to identify your participation while this Agreement is in effect.

7. Disputes between us: negotiate, mediate, then arbitrate — no lawsuits

We are dispute-resolution people, and we resolve our own disputes the way we ask clients to. Any claim between you and ResolvTalk (or its parent, members, officers or licensees) arising from this Agreement or the Platform will be handled in this order and no other: (1) direct discussion within fifteen days of written notice; (2) if unresolved, mediation online with a Florida Supreme Court certified mediator (or, if we both agree, the Just-Us.ai online mediation service) within forty-five days, each side paying half the mediator’s fee; (3) if still unresolved thirty days after the first mediation session, final and binding arbitration before a single arbitrator in Miami-Dade County, Florida under the rules of the American Arbitration Association, on an individual basis only.

Neither of us will file a lawsuit against the other except to compel arbitration, enforce an award, or seek temporary injunctive relief to protect confidential information or intellectual property. EACH OF US WAIVES TRIAL BY JURY AND ANY CLASS OR REPRESENTATIVE PROCEEDING. Any claim must be brought within one year after it arises. The arbitrator may award reasonable attorneys’ fees and costs to the prevailing party, and shall award them against any party who brings a claim the arbitrator finds frivolous. Disputes between you and a client are governed by your engagement terms and your professional rules, not by this Section.

8. Term, termination, liability and general terms

One-year term from your electronic signature, renewing yearly unless either of us gives thirty days’ notice; either of us may end it for convenience on thirty days’ notice. ResolvTalk may suspend or terminate you immediately, stating the reason in writing, for breach of Sections 3, 4, 5 or 6, loss of standing, discipline or insurance, repeated substantiated complaints, or conduct that in our reasonable judgment harms clients or the Platform. You finish engagements in progress unless we say otherwise or your rules require withdrawal, and we deposit what you earned. Sections 1, 5, 6, 7 and 8 survive. Termination never affects a client’s right to retain you directly.

You indemnify ResolvTalk and its parent, members, officers, employees, partners and licensees against claims arising from your advice, your breach or your violation of professional rules or law; we indemnify you against third-party claims that the Platform software infringes a U.S. patent, copyright or trademark. THE PLATFORM IS PROVIDED “AS IS” WITH NO WARRANTY OF ENGAGEMENT VOLUME OR REVENUE. Except for indemnity and breaches of confidentiality, neither of us is liable for indirect, consequential or punitive damages, and ResolvTalk’s total liability is limited to the fees you paid us in the prior twelve months or $1,000, whichever is greater.

Florida law governs. Your profile may appear, and engagements may originate, on any Partner Site (Just-Us.ai, Avoid-Court.com, their foreign-language editions and licensed white-label sites); ResolvTalk remains your sole counterparty. Notices to us: info@resolvtalk.com; to you: your profile email. You may not assign this Agreement; we may assign it to an affiliate or successor. This Agreement with its Exhibits is the entire agreement; unenforceable provisions are severed. Your typed initials and name on the Platform are your electronic signature and have the same effect as a handwritten one.

Why ResolvTalk

Attorneys have always been available four ways: retainer, contingency, flat fee, or a discounted block of hours. None of them fits the person in the middle of a negotiation who needs one clear conversation about the law.

Advisory, not advocacyBounded scope, published hourly rates, no retainer. You help a client understand their legal rights and options while they resolve the dispute through Just‑Us.ai or Avoid‑Court.com.
New clients, new revenueClients come to you at the exact moment a legal question arises, matched by ZIP code, area code and type of law. Register in under five minutes; there is nothing to sell.
Fixed, transparent pricingThree rates, the same for every attorney, shown to the client before they book. Paid through the platform, remitted to you monthly by ACH.
Both sides, one platformEither party to a dispute can retain their own ResolvTalk attorney. Conflicts are checked; no attorney advises both parties.
Client for life

The dispute ends. The relationship doesn't.

A client who is satisfied with an advisory session can engage you directly — for a future dispute, for a will, a lease, a business formation, anything — on your own terms, with no fee to ResolvTalk. ResolvTalk is a simple, inexpensive way to acquire clients and a new form of revenue built for a client‑for‑life practice.
